Terms of Service

TERMS OF SERVICE AGREEMENT
This page outlines what you can expect from our services and your responsibilities as a client including but not limited to scheduling, preparation, and payment. By accepting any product or service offered by Pro Duct Cleaning’s (“The Vendor”) services, the client agrees to the following terms:

SERVICE PLANS

  1. Pro Plan (Unscheduled Automatic Cleanings)
    We will automatically perform cleanings after hours. This is the only plan where we guarantee cleanings will remain on schedule. The client must provide a key, lockbox code, roof access, or other access method. Keys are stored securely and accessed only on the day of service.
  2. Flex Plan (Scheduled with Key/Code)
    We will contact you to schedule after-hours service using your provided access method. Scheduling is subject to availability. Keys are stored securely and accessed only on the day of service.
  3. On-Demand Plan (Client-Scheduled Cleanings)
    We will make a best-effort attempt to remind you when cleaning is due. We cannot guarantee timely service if scheduling depends on your response or availability.
    All plans include standard vent hood cleaning of accessible hood, ductwork, filters*, and fan units unless otherwise noted.

ACCESS & ENTRY

  1. The client must provide accurate and up-to-date access information including keys, lockbox codes, alarm codes, and access cards.
  2. If landlord contact is required for access, the client must coordinate with the landlord directly.
  3. If our crew arrives and cannot access the site due to incorrect or missing access info, lack of roof access, or no manager present, 50% of the service fee will be charged for the missed appointment.

CANCELLATION & RESCHEDULING

  1. Cancellations or rescheduling within 48 hours of service will incur a 25% fee.
  2. If the client causes delays by canceling or restricting scheduling or access, we cannot guarantee cleaning will be completed by the due date.

SERVICE SCOPE & SITE CONDITIONS

  1. Standard cleaning includes the hood, ductwork, fan, and filters* where accessible.
  2. Filters are only cleaned or exchanged if agreed in advance.
  3. We do not clean aluminum filters due to risk of damage. We can provide stainless steel filters at client expense.
  4. Floors will be left in the same condition as arrival to the best of our ability. However, hoods often drip after cleaning for several hours.
  5. The area around the hood must be clear of packages, equipment, or obstructions. Our technicians are not permitted to move client equipment or property.
  6. Rooftop grease containment is not included but strongly recommended. We can install and maintain these systems upon request.
  7. Issues that may require rework must be reported within 48 hours of service time to be considered for relief.

FILTER POLICY

  1. Filters are considered consumable components and degrade over time. We are not responsible for damage to filters that are already worn or compromised.
  2. We do not clean aluminum filters, as they are too fragile for our cleaning process. If you currently use aluminum filters, we can provide properly sized stainless steel replacements at your expense.
  3. Clients enrolled in our Filter Exchange Program receive a second set of filters. Clean filters are delivered and installed at the agreed-upon interval, and the dirty set is picked up for cleaning. Additional or replacement filters are billed separately.
  4. Filters are only cleaned or exchanged if agreed upon in advance.

POST-SERVICE ACCEPTANCE

  1. If a client representative is not available to sign the after-service report, the contents of the report are accepted as accurate by default.

DAMAGE, LIABILITY & EXCLUSIONS

  1. We are not responsible for damage caused by pre-existing issues such as faulty wiring, incorrectly installed fans, missing hinge kits, or poorly maintained client equipment.
  2. We reserve the right to reschedule or charge 50% of the service fee if site conditions are unsafe (e.g., unsafe roof access, structural issues, electrical hazards).
  3. Minor cosmetic damage (e.g., superficial scratches or scuffs) that does not affect function or value is waived by the client.

LIMITATION OF LIABILITY

  1. Maximum Liability: The vendor’s liability is limited to the total amount paid to the vendor in the six (6) months prior to the event.
  2. No Consequential Damages: We are not liable for lost profits, reputational harm, or business interruption.
  3. Insurance: Our general liability insurance is the exclusive remedy for any covered losses or damages.

INDEMNIFICATION
Client agrees to indemnify and hold harmless the vendor and its employees from third-party claims arising from the vendor’s actions or omissions, except when caused by our gross negligence or willful misconduct.

PAYMENT TERMS

  1. A valid form of payment on file (credit card or ACH) is required before service. This is securely stored via our payment processor.
  2. Paper checks are accepted at time of service, but a backup payment method must still be on file.
  3. NET 30 payment terms may be extended at our sole discretion and require approval. Payment is due 30 days from service date.
  4. All other invoices are due upon receipt and are considered late after 10 days.
  5. Late payments are subject to a 1.5% finance charge per 30-day period overdue.
  6. Updated invoices (e.g., after adjustments, discounts, or late fees) supersede previous versions.
  7. Invoices 90+ days overdue will be submitted to a collections partner.
  8. Service and courtesy reminders to schedule may be subject to pause/cancellation until any outstanding invoices are paid.

PRICING & ADJUSTMENTS
While we strive to maintain pricing for at least two years, we reserve the right to adjust rates due to inflation, labor, insurance, or supply cost increases. Any changes will be communicated in advance.

FORCE MAJEURE
We are not liable for delays caused by events outside our control, including but not limited to natural disasters, weather, equipment failure, or power outages.

CODE COMPLIANCE & SYSTEM CONDITION
The vendor performs services based on the condition of the equipment as found at the time of service. We do not certify compliance with NFPA 96 or any other fire, building, or health code. The client is solely responsible for ensuring that their hood, duct, and exhaust systems are code-compliant and properly maintained. If we identify non-compliant conditions, we may note them on the After-Service Report, but we are not obligated to inspect or report such issues.

Service performed on non-compliant or improperly installed systems is done at the client’s own risk. The vendor is not liable for damages, losses, or code violations resulting from pre-existing non-compliant conditions.
